Louisiana Annual Report Due Date: Your Anniversary
Your report is due on or before the anniversary of the date your LLC was organized. If your Articles of Organization were filed on June 10, every report after that is due by June 10.
One quirk worth knowing: the state's geauxBIZ portal only accepts the filing inside a 30-day window before your anniversary. You cannot file six months early, so mark the window, not just the deadline.
Your first report is not a separate chore, either. Louisiana collects an initial report along with your Articles of Organization, so the annual cycle starts the year after you form.
Louisiana Annual Report Fee: $30 by Mail, $35 Online
The official Louisiana filing fee is $30 if you mail a paper report and $35 if you file online through geauxBIZ. The state's published fee schedule (SS332) lists a $25 base, and card payments pick up Louisiana's statutory convenience charge, which is how the online total lands at $35.
Updating routine information on the report is free. The one exception involves your registered agent: change the agent on a paper report and the new agent's Affidavit and Acknowledgement of Acceptance must be sworn before a notary. A no-change report needs no notarization at all, and an online agent change is confirmed by email acceptance instead.
How to File Your Louisiana Annual Report

- Wait for your filing window. geauxBIZ opens the annual report 30 days before your anniversary date.
- Confirm or update your details: entity name, charter number, Louisiana registered office address, registered agent name and address, principal business office address, and the names and addresses of your members or managers.
- Use physical municipal street addresses throughout. A PO box on its own is not accepted for the registered office or for member and manager addresses.
- Pay the fee ($35 online, $30 by mail) and submit before your anniversary date.
You will not be asked for a FEIN, a NAICS code, or a business-purpose write-up. The domestic LLC report is shorter than most people expect.
Late Filing: Penalties and Administrative Termination
Louisiana does not tack on a flat late fee, but the consequences show up anyway:
Loss of good standing. Miss your anniversary date and the state moves your LLC to "not in good standing" status. Lenders, title companies, and anyone else who pulls your record will see it.
Revocation after about three years. Under La. R.S. 12:1339, roughly three consecutive years of non-filing leads to revocation of your articles, which is Louisiana's version of administrative termination.
Reinstatement expenses. Bringing a revoked LLC back means filing reinstatement paperwork (the domestic LLC reinstatement fee category runs about $75) and catching up on the missed reports.
