Louisiana Registered Agent for Out-of-State Businesses

If your business is formed in another state but does business in Louisiana, you're considered a "foreign" entity in Louisiana — and you'll need to register here through a process called foreign qualification. A required step in that process is naming a Louisiana registered agent.

What "Foreign" Actually Means

In legal language, "foreign" doesn't mean international — it just means out-of-state. An LLC formed in Delaware that opens an office in Louisiana is a "foreign LLC" from Louisiana's perspective. The same applies to corporations and other entity types.

Louisiana says no foreign LLC has the right to transact business in the state before the Secretary of State has issued it a certificate of authority. "Transacting business" isn't defined, but R.S. 12:1343 lists ten activities that don't count, such as member meetings, bank accounts, mail orders accepted outside Louisiana, interstate or foreign commerce, an isolated deal finished within thirty days, and buying or selling property outside your regular business.

What a Louisiana Registered Agent Does for a Foreign Entity

Your Louisiana registered agent is the legal point of contact for your foreign entity in Louisiana. The agent:

• Receives service of process if your business is sued in Louisiana
• Comes from a short list: a Louisiana resident whose office is your registered office, a Louisiana-licensed attorney or law partnership, or a qualified corporation or LLC that has filed the names of two individuals authorized to accept process
• Signs a notarized acceptance of the appointment, which is filed with your application
• Has a public name and address on the Secretary of State's website

Operating without authority gets expensive. Each violation can draw a Secretary of State penalty as high as $1,000, and the attorney general can recover every fee and tax you would have paid had you registered on time. The LLC also can't bring a claim in a Louisiana court until it's authorized, though its contracts hold and it can still answer claims against it.

How to Foreign-Qualify in Louisiana

The general process for registering an out-of-state entity in Louisiana:

1. Get a certificate of existence dated within 90 days. It must carry an original signature and match your name exactly. In Texas and Alabama, get it from the Secretary of State, not the tax agency.

2. Designate a Louisiana registered agent. You can use a commercial registered agent service or one of the other agents Louisiana allows.

3. File Form 972 ($185). Since October 1, 2026 the fee is $185 (up from $150), with $5 more when you pay by card. Form 972 is signed before a notary, then filed online through geauxBIZ, by fax with a card, by mail, or in person in Baton Rouge. Optional expedites are $35 for 24 hours or $60 while you wait.

4. File the $35 annual report. It's due each year on or before the anniversary of your qualification. A foreign LLC that falls behind loses good standing and can face revocation after 60 days' written notice.
